Professional Services - Terms of Service

Techdrop Labs and Sendwithus are owned and operated by Techdrop Labs Inc. (“Techdrop Labs”).

By completing the transaction outlined in your invoice, you agree to the following Terms and Conditions and any Policies or amendments that may be presented to you from time to time (collectively, the “Terms”), and agree to enter into a business relationship whereby Techdrop Labs provides professional services in consideration of payment provided, pursuant to the entire terms of this agreement. Please read these Terms carefully. This is a legal agreement.

1. Agreement Terms

Techdrop Labs shall provide professional services as agreed upon between the parties. The specific services to be provided, deliverables, timelines, and compensation details shall be documented in the invoice.

Client agrees to pay Techdrop Labs the agreed-upon fees as outlined in the invoice. Payment terms, including any applicable milestones and payment schedule, shall be specified in the invoice.

Techdrop Labs shall perform the services as an independent contractor and not as an employee or representative of the Client. Techdrop Labs shall be responsible for all taxes, insurance, and other liabilities associated with their status as independent contractors.

2. Cancellation

In the event of cancellation by either party, all fees shall be paid shall be non-refundable, and any outstanding work or deliverables that has been paid for shall be delivered to the Client promptly upon request.

3. Intellectual Property

Techdrop Labs agrees that all works and creations stemming from work performed under the scope of this services agreement shall be the intellectual property of the Client, and agrees to make no claim to intellectual property stemming from the services performed pursuant to this agreement.

4. Confidentiality

Techdrop Labs acknowledges that, from time to time, they will have access to confidential or proprietary information related to Client's business. Techdrop Labs agrees to maintain complete discretion and confidentiality regarding this information, and to refrain from disclosing this information to third parties without prior written consent from Client.

5. Competition & Solicitation

Techdrop Labs agrees to refrain from engaging in business practices which directly compete with client's business during the term of this technical services consulting agreement, and for a period of 24 months thereafter. Similarly, Techdrop Labs agrees to refrain from soliciting or recruiting Client's employees at any time. 

6. Indemnity

Client agrees to indemnify and hold Techdrop Labs harmless against any legal action or damages pertaining to the services provided under the terms of this agreement.

7. Amendments

This agreement shall represent the full scope of terms between Techdrop Labs and Client related to the services described therein. Any addition or modification to this agreement shall require written approval by both parties.

8. Governance & Dispute Resolution

The terms of this agreement shall be governed according to the laws of Delaware, USA. Any disputes or legal proceedings shall be filed and resolved through a neutral arbitrator located in Delaware. If Techdrop Labs and Client should enter into a dispute, both parties agree that the prevailing party shall have their entire legal fees, including attorneys' fees, reimbursed by the opposite party.
